These Terms & Conditions ("Terms") govern access to and use of the Avyo platform and services ("Service") by businesses ("merchants", "you"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Avyo provides software that enables merchants to sell, take orders, accept payments, and communicate with customers over WhatsApp, together with related dashboard and management tools. Avyo integrates with the WhatsApp Business Platform and with third-party payment providers.
2. Eligibility & accounts
- You must be a legally registered or lawful business and able to enter into a contract.
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- You are responsible for all activity that occurs under your account.
3. Acceptable use
You agree not to use the Service to: send spam or unsolicited messages; message customers without a lawful basis or required consent; sell prohibited or illegal goods; infringe others' rights; or violate applicable law. You must comply with the WhatsApp Business and Commerce Policies and Meta's platform terms. Violations may result in suspension or termination.
4. Messaging & consent
You are responsible for obtaining any consent required to message your customers and for the content you send. Marketing messages are subject to WhatsApp's rules and opt-in requirements.
5. Fees & payments
- Use of the Service may be subject to subscription fees and/or per-transaction fees, which will be disclosed to you.
- Messaging costs charged by the WhatsApp Business Platform may be passed through and re-billed to you.
- Customer payments are processed by third-party payment providers; settlement to merchants is subject to those providers' timelines and to these Terms.
6. Third-party services
The Service depends on third parties (including Meta/WhatsApp and payment providers). Their availability, terms, and pricing are outside Avyo's control, and your use of them is subject to their terms.
7. Intellectual property
Avyo and its software, branding, and content are owned by Avyo and its licensors. You retain ownership of your own business content. You grant Avyo the limited rights needed to operate the Service on your behalf.
8. Disclaimers & limitation of liability
The Service is provided "as is" without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, Avyo is not liable for indirect, incidental, or consequential damages, or for losses arising from third-party services, message delivery failures, or payment-provider issues.
9. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, legal or policy violations, or risks to the platform or other users.
10. Governing law
These Terms are governed by the laws of the Republic of Kenya & Rwanda, and disputes are subject to the competent courts of Kenya and Rwanda, unless otherwise required by applicable law.
11. Changes
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date above reflects the current version.
